Government of Canada proposes new regulations for playpens

Proposed regulations would strengthen requirements for playpens to better protect infants and young children from potential injury or death

Playpens are intended to provide a safe playing environment for infants and young children. However, over the years, playpen designs have evolved and there are safety hazards associated with certain designs, including the use of accessories, such as change tables and other sleep accessories.

While these changes may appear convenient to parents, there are risks involved, including strangulation in collapsed side rails, getting caught between accessories and the playpen, getting caught in openings in the sides of the playpen, and suffocation on the angled mattress pads of sleep accessories.

Following consultation with provincial and territorial governments, Health Canada is proposing to replace the current requirements for playpens under the Canada Consumer Product Safety Act, with the new Playpens Regulations. The proposed regulations were developed to help address identified safety issues and align the majority of the Canadian requirements with those in the U.S.

The proposed Playpens Regulations also better align with the Cribs, Cradles and Bassinets Regulations, which came into force on December 29, 2016. The Cribs, Cradles and Bassinets Regulations contain improved safety requirements for products marketed or intended for children’s sleep, such as cribs, cradles and bassinets, as well as sleep accessories that attach to these products.

The Government of Canada encourages Canadians to review the proposed new regulations and to submit feedback to Health Canada by June 6, 2017.

The best place for an infant or young child to sleep is always a crib, cradle or bassinet. Health Canada continues to remind parents and caregivers that playpens should not be used for unsupervised sleep. The Department also recommends that parents and caregivers always follow the manufacturer’s instructions for assembly and use.

    • additional requirements and test methods to address unintentional folding or collapse of the playpen’s top rails, and
    • the introduction of requirements and test methods for playpen accessories, including accessories intended for unsupervised infant sleep.
  • Between 1990 and September 2016, the Department received 156 reports of incidents associated with playpens and their accessories. These incident reports included 10 deaths, 1 serious injury, 31 minor injuries, and 114 incidents without injury.
  • Between 1995 and October 2016, Health Canada negotiated 19 voluntary recalls with industry that were related to playpens. Eight of these related to entanglement, six to side-rail collapse and five to playpen accessories.

Changes to three CMF program deadlines

Northern Incentive, Anglophone Minority Incentive and Corus-CMF “Page to Pitch” Program

Toronto, April 21, 2017 – The Canada Media Fund (CMF) has modified deadlines for two of its programs to reflect feedback from producers who regularly benefit from these programs. Specifically, deadlines to apply for production funding through the CMF Northern Incentive and the Anglophone Minority Incentive have changed. The Development funding deadline for the Northern Incentive remains May 23, 2017. The CMF also announced upcoming deadlines for the Corus-CMF “Page to Pitch” Program.

The new deadlines are as follows:

    • Northern Incentive – Production
      • Opening date : May 30, 2017
    • Anglophone Minority Incentive
      • First opening date ($3M): May 16, 2017
      • Second opening date (1.5M$): August 29, 2017
  • Corus-CMF “Page to Pitch” Program
    • Year Four, Round Two: June 13, 2017
    • Year Five: October 3, 2017

The Corus-CMF Page to Pitch program is available to producers seeking funding for creative and business activities during the development of eligible live-action and animated television projects triggered by any CRTC-licensed Canadian broadcaster. It funds eligible costs related to story and script development as well as expenses related to the acquisition of pre-sale financing from foreign broadcasters and distributors. The following types of projects are eligible for funding in Year Four, Round Two of this program:

  • English Animation or animated-related projects: PAGE funding
  • French Live Action projects including documentaries: PAGE and PITCH funding

21 Additional First Nations welcomed as Signatories to the Framework Agreement

(April 21, 2017)

On behalf of the Lands Advisory Board, and the Framework Agreement Signatory First Nations, and with the full support of Canada, we are delighted to welcome the following 21 new signatory nations to the Framework Agreement. This brings the total number of Framework Agreement Signatory First Nations to 148.

This year the Framework Agreement on First Nation Land Management (Framework Agreement) celebrates 21 years of land governance authority, during which time it has helped communities across the country exercise their inherent rights over their reserve lands and resources. Under the Framework Agreement and the First Nations Land Management Act, 33 sections of the Indian Act no longer apply to those communities who ratify their community land codes enabling these communities to move ahead in their goals of self‐governance and self‐sufficiency beyond the boundaries of the Indian Act.

The Lands Advisory Board and the First Nations Land Management Resource Centre, have worked diligently to provide support to the Framework Agreement signatories, and to ensure that all First Nations are offered the opportunity to pursue this initiative, if they so desire. We are thankful to Canada, and to Minister Bennet and her staff, for the cooperation, partnership and continued support of First Nations across Canada in their pursuit to become signatories to the Framework Agreement.

It’s also the inspiration for What We Protect, the latest installment of the National Film Board of Canada’s 1 Nation. 4 Lenses, part of its special online programming for the 150th anniversary of Confederation (#Canada150).

What We Protect brings together works from the NFB’s storied archives that reflect what we strive to protect as a nation―and in recognition of Earth Day, April 22, includes a special playlist exploring Canada’s environment.

From asylum seekers arriving in Canada to escape homophobic violence to members of the Haisla Nation trying to protect a vital link to their ancestral heritage, how we respond to environmental, cultural, social, and human rights issues goes a long way in defining who we are.

Films and interactive works

Three feature-length documentaries are featured as part of What We Protect. Acclaimed Indigenous filmmaker Gil Cardinal’s Totem: The Return of the G’psgolox Pole documents the successful efforts of the Haisla Nation to repatriate their traditional mortuary pole, taken from their community back in 1929. Acadian director Paul-Émile d’Entremont’s Last Chance follows the stories of five asylum seekers who flee their native countries to escape homophobic violence, while Montreal’s Paul Cowan garners unprecedented access to a UN peacekeeping mission trying to avert a humanitarian disaster in the Democratic Republic of Congo, in The Peacekeepers (NFB/13 Production/ARTE France).

Also selected is the interactive documentary This Land, in which Dianne Whelan accompanies a military expedition to the northernmost tip of Canada to plant the flag, and Twice upon a Time/Il était deux fois, Giles Walker’s humorous short poking fun at Canadian bilingualism.

·        Teresa Marshall and Craig Berggold offer up a personal look at Canada’s unique “pocket desert,” nestled in BC’s dry interior, in Pocket Desert: Confessions of a Snake Killer.

Great Canadian Shoreline Cleanup challenges Canadians to set a new record for Canada’s 150th birthday

ACROSS CANADA, April 21, 2017 – Canada is turning 150 this year and to celebrate the Great Canadian Shoreline Cleanup is challenging Canadians to mark Canada’s big birthday by cleaning their shorelines in record-breaking numbers.

With Earth Day tomorrow, registration for the Great Canadian Shoreline Cleanup is now open and is easier than ever, with a new, user-friendly website at ShorelineCleanup.ca.

“We had an incredible year in 2016,” said Rachel Schoeler, manager of the Shoreline Cleanup. “We broke all of our previous records, with more than 2,300 shorelines cleaned and 77,000 people helping us protect ecosystems and wildlife across the country.”

The Shoreline Cleanup isn’t coasting on its success for the year ahead; instead it will build on the momentum to almost double participation, with a birthday-themed target of 150,000 Canadians taking part for 2017.

“We’re setting an ambitious target because we believe Canadians have a responsibility to protect the nature around them — and as last year’s record participation shows, Canadians care deeply about the health of their communities and want to take action for the environment.”

Now in its 24th year, the Great Canadian Shoreline Cleanup, presented by Loblaw Companies Limited, is Canada’s largest conservation-based cleanup. An initiative of the Vancouver Aquarium Marine Science Centre and WWF-Canada, it calls on Canadians from coast to coast to help rehabilitate shoreline areas throughout the year. Participating in the Shoreline Cleanup educates participants on the stewardship of the water, habitats and how to make a positive impact on the environment.

“From storm drains, parks and school yards to lakes, rivers and oceans, shoreline litter impacts people and wildlife such as frogs, turtles, whales and birds in every corner of the country. By participating in the Shoreline Cleanup, we’re picking up debris before it has the chance to get into our aquatic ecosystems,” said Schoeler.

The most widely collected litter items in 2016 included plastic and paper bags, cigarettes, food wrappers and containers, caps and lids, glass and plastic beverage bottles, beverage cans, disposable flatware, straws, tobacco packaging and building materials. Once these items enter aquatic ecosystems, they can contaminate and degrade habitat, and cause injury to wildlife from ingestion and entanglement.

Celebrate Canada and make a difference in your community by taking action against shoreline litter. Participants can start a cleanup any time of year, at any shoreline across the country, and are invited clean it multiple times throughout the year.

Ecojustice: First Nation to intervene to protect traditional territory

Copper One’s proposed mine will degrade land and pollute the headwaters of the Ottawa River, say the Mitchikanibikok Inik

OTTAWA and QUÉBEC – Mitchikanibikok Inik First Nation is calling on the court to reject mining company’s lawsuit to open their unceded territory for forestry and mining exploration.

“The Mitchikanibikok Inik First Nation have a constitutional right to consultation and accommodation,” said Ecojustice lawyer, Joshua Ginsberg. “Copper One’s application is an attempt to force through a regulatory approval while ignoring the rights of the Mitchikanibikok Inik people. This community has said time and again that mining activity cannot happen in their territory. They deserve to see that ‘no’ respected.”

Copper One, a junior mining company, filed a mandamus application to force the Quebec government to grant it “deforestation permits” that will allow it to start mining exploration activities in the Mitchikanibikok Inik (also known as Algonquins of Barrière Lake) traditional territory.

Ecojustice lawyers, with help from lawyers from the Centre québécois du droit de l’environnement (CQDE), will be representing the Mitchikanibikok Inik as intervenors in Copper One’s proceeding against the Quebec government.

“We have said repeatedly that mining cannot occur in our territory. We will not sit idle and let Copper One, or any other mining company, come in and jeopardize our way of life. No means no,” said Norman Matchewan of the Mitchikanibikok Inik First Nation.

The ancestral territories of the Mitchikanibikok Inik encompass many sites of ecological, cultural and survival importance, including: Burial sites, ceremonial sites, heritage sites, and occupancy sites; habitat for bears, spawning fish, and bald eagles; and hunting grounds for moose, medicinal plant gathering and tree harvesting.

“The Centre québécois du droit de l’environnement is pleased to collaborate on a case which concerns both indigenous and environmental law which we believe is fundamentally fair.” said CQDE lawyer Marc Bishai.

In 1991, the Mitchikanibikok Inik signed a trilateral agreement with the governments of Canada and Quebec to establish a system of sustainable development over 10,000 square kilometres of their unceded traditional territory. Negotiations regarding implementation are ongoing.

Since 2011, the Quebec government has enforced a moratorium on mining activity in the region, except for a brief period in 2016 when it was lifted — clearing the way for Copper One to proceed with mineral exploration. The government reinstated the moratorium in February 2017, but only until July.

SNC-Lavalin does not expect this integration review to have a material impact on the continued employment of Atkins’ employees.

Consistent with the extensive succession planning work completed by Atkins and the Atkins Directors, Heath Drewett, the current Group Finance Director and Executive Director of Atkins will, upon successful completion of the acquisition, be promoted to lead Atkins within the combined entity. Heath Drewett will report into SNC-Lavalin’s President and Chief Executive Officer and become a member of SNC-Lavalin’s executive committee.

James Cullens, Group Director Human Resources & Marcomms and Executive Director of Atkins, will remain with the combined entity and support SNC-Lavalin with key integration and people-related matters following the successful completion of the acquisition. James’ extensive experience, both at Atkins and in his prior career, is aligned with the needs of the combined entity. It is therefore anticipated that, subject to mutual agreement, towards the end of the year, James will assume the position of Executive Vice-President, Human Resources, for the combined organization.

Financial Highlights

Under the terms of the acquisition, each Atkins shareholder will be entitled to receive £20.80 in cash for each Atkins share.

The acquisition represents an enterprise value of $4.2 billion, including the pension deficit. This represents an estimated purchase price multiple of 9.8x for the 12-month adjusted EBITDA1 post synergies2 and including pension deficit3.

The acquisition is expected to be immediately accretive to SNC-Lavalin’s consolidated and E&C adjusted earnings per share before any revenue and cost synergies.

The acquisition will create growth and expansion of services and revenue. It is also expected to deliver approximately $120 million in cost synergies in both current organizations by the end of the first full financial year after the effective date, that would include, for example eliminating corporate and listing costs, optimizing corporate functions and shared services, streamlining IT systems, and office consolidation where appropriate.

The acquisition financing structure preserves SNC-Lavalin’s balance sheet strength and leverages SNC-Lavalin’s equity stake in the Highway 407 ETR, while retaining its equity ownership. The acquisition will be funded through a combination of equity and debt issuance, and supported by Caisse de dépôt et placement du Québec (“CDPQ”), SNC-Lavalin’s largest shareholder. The funding includes a $1.5 billion loan from CDPQ, an $800 million public bought deal offering, a $400 million private placement with CDPQ, as well as a £300 million term loan, and an approximately £350 million draw on our current credit facility.

Additionally, SNC-Lavalin expects to maintain its investment-grade rating following the closing of the acquisition.

Acquisition Financing

  • $1.5 billion loan from CDPQ to SNC-Lavalin Highway Holdings Inc. (the entity that holds SNC-Lavalin’s 16.77% interest in Highway 407ETR through 407 International Inc.).
  • $800 million public subscription receipts on a bought deal basis backstopped by an $800 million unsecured bridge credit facility with a syndicate of North American banks.
  • $400 million privately placed subscription receipts with CDPQ backstopped by a $400 million unsecured bridge credit facility with CDPQ.
  • Approximately £350 million to be drawn under the Corporation’s existing $4.25 billion syndicated credit facility backstopped by a £400 million unsecured bridge credit facility with a syndicate of North American banks.
  • A new £300 million unsecured term loan with a syndicate of North American banks.

SNC-Lavalin Highway Holdings Loan with CDPQ

Concurrently with the announcement of the acquisition, SNC-Lavalin Highway Holdings Inc. (“SNC-Lavalin Highway Holdings”) and CDPQ entered into a loan agreement in the original principal amount of $1.5 billion. This loan is secured by the full value of SNC-Lavalin Highway Holdings’ shares and the cash flows generated from such shares. The loan has been structured to be of a non-recourse nature as against the Corporation.

Public Offering of Subscription Receipts on a Bought Deal Basis

To finance the payment of a portion of the purchase price and related expenses, SNC-Lavalin has entered into an agreement with a syndicate of underwriters co-led by RBC Capital Markets, TD Securities and BMO Capital Markets (collectively, the “Co-Lead Underwriters”) to sell, on a bought deal basis, subscription receipts (the “Subscription Receipts”) of SNC-Lavalin from treasury at a price of $51.45 per Subscription Receipt (the “Offer Price”). The agreement with the Co-Lead Underwriters includes the issuance of 15,550,000 Subscription Receipts for gross proceeds of $800 million (the “Offering”). In addition, the underwriters have been granted an over-allotment option, exercisable in whole or in part at the Offer Price for a period of 30 days from the closing date of the Offering, for additional gross proceeds of up to approximately $80 million. The Subscription Receipts will be offered in all provinces of Canada, pursuant to a prospectus supplement to SNC-Lavalin’s short form base shelf prospectus dated March 13, 2017 to be filed in each of the provinces of Canada by SNC-Lavalin.

The proceeds from the Offering will be held in escrow pending the completion of the acquisition. If the acquisition is completed on or prior to 11:59 pm (London, UK time) on July 31, 2017 (or such later date as SNC-Lavalin and Atkins may agree for purposes of the acquisition closing, subject to regulatory consents and court approvals, which date shall be no later than October 27, 2017), the net proceeds will be released to the Corporation and each holder of a Subscription Receipt will receive, without additional consideration and without further action, one common share of SNC-Lavalin (the “Common Shares”) for each Subscription Receipt held upon closing of the acquisition together with, without duplication, an amount, if any, equal to the amount per Common Share of any dividends for which record dates have occurred during the period from the date of the Offering closing to the date immediately preceding the date of the acquisition closing, less any applicable withholding taxes. If the acquisition does not occur on or prior to 11:59 pm (London, UK time) on July 31, 2017 (or such later date as SNC-Lavalin and Atkins may agree for purposes of the acquisition closing, subject to regulatory consents and court approvals, which date shall be no later than October 27, 2017), if the proposed scheme of arrangement in respect of the acquisition is not approved by the requisite majority of Atkins shareholders or not court sanctioned, or lapses or is withdrawn; or if the Corporation advises the Co-Lead Underwriters or announces to the public that it does not intend to proceed with the acquisition, the holders of Subscription Receipts will receive a cash payment equal to the offering price of the Subscription Receipts plus their pro rata share of the interest actually earned on the escrowed funds during the term of the escrow. 50% of the underwriters’ fee in the aggregate amount of $16 million, assuming no exercise of the over-allotment option, representing 4% of the aggregate gross proceeds of the Offering, will be paid upon closing of the Offering and the other 50% will be paid upon closing of the acquisition.

The issuance of the Subscription Receipts and underlying Common Shares pursuant to the Offering are subject to customary approval of the Toronto Stock Exchange. Closing of the Offering is expected to occur on or about April 27, 2017.

Neither the Subscription Receipts nor the underlying Common Shares offered have been, and they will not be, registered under the U.S. Securities Act of 1933 (the “U.S. Securities Act”), as amended, and such securities may not be offered or sold in the United States, absent registration or an applicable exemption from registration. This press release shall not constitute an offer to sell or the solicitation of an offer to buy the Subscription Receipts or the underlying Common Shares. The offering or sale of the Subscription Receipts and the underlying Common Shares shall not be made in any jurisdiction in which such offer, solicitation or sale would be unlawful.

Concurrent Private Placement of Subscription Receipts

SNC-Lavalin has also entered into a subscription agreement with CDPQ pursuant to which SNC-Lavalin and CDPQ have agreed that CDPQ will purchase on a “private placement” basis in Canada, 7,775,000 Subscription Receipts (the “Placement Subscription Receipts”) at a price of $51.45 per Placement Subscription Receipt for gross proceeds to SNC-Lavalin of $400 million upon closing (the “Concurrent Private Placement”). Upon closing of the acquisition, CDPQ will be entitled to a non-refundable capital commitment payment equal to 4% of the aggregate purchase price for the Placement Subscription Receipts for which it has subscribed.

Completion of the Concurrent Private Placement is subject to a number of conditions, including the concurrent closing of the Offering. Completion of the Offering is conditional upon the concurrent closing of the Concurrent Private Placement.

Other Credit Facilities and Arrangements

Concurrently with the announcement of the acquisition, the Corporation entered into a new £300 million unsecured term loan with a syndicate of North American banks and the Corporation intends to draw approximately £350 million under its existing $4.25 billion syndicated credit facility to pay the balance of the purchase price and acquisition-related costs.

The various elements of the Corporation’s financing of the acquisition are collectively designed to ensure compliance with the “certain funds” requirements of the UK City Code on Takeovers and Mergers.

As neither the Offering nor the Concurrent Private Placement is being made on a “certain funds” basis, concurrently with the announcement of the acquisition, the Corporation also entered into (i) an $800 million unsecured bridge credit facility with a syndicate of North American banks to backstop the Offering, and (ii) a $400 million unsecured bridge credit facility with CDPQ to backstop the Concurrent Private Placement.

Each of the Corporation’s existing Syndicated Credit Facility, the new Term Loan and the backstop facilities for the Offering and the Concurrent Private Placement contain customary representations, warranties, conditions precedent, covenants, a leverage ratio and events of default.

All of the above elements of the acquisition financing plan, including the nature of the SNC-Lavalin Highway Holdings Loan, have been designed and structured with a view to preserving SNC-Lavalin’s investment grade rating.

OFFER DETAILS AND TIMETABLE

It is intended that the acquisition will be implemented by means of a Court-sanctioned scheme of arrangement under Part 26 of the U.K. Companies Act 2006. The purpose of the Scheme is to provide for SNC-Lavalin to indirectly become the owner of the entire issued and to be issued share capital of Atkins.

Details of the proposed acquisition will be sent to Atkins shareholders within 28 days of the date of this announcement (unless the Panel on Take-overs and Mergers under the U.K.’s City Code on Take-overs and Mergers agrees otherwise). Subject, amongst other things, to the satisfaction or waiver of the conditions, the approval of the scheme of arrangement by the Atkins shareholders, the receipt of applicable regulatory approvals and the Court’s sanction of the scheme of arrangement, it is expected that the acquisition will be completed in the third quarter of 2017.

2017 OUTLOOK UPDATE AND FIRST QUARTER

SNC-Lavalin’s first quarter results, to be announced on May 4, 2017, remain broadly in-line with management’s expectations. SNC-Lavalin is also reaffirming its full year 2017 outlook provided on March 2, 2017 with respect to adjusted diluted EPS from E&C of $1.70 to $2.00, without taking into account the proposed acquisition or related financing4.

CRTC strengthens its commitment to net neutrality, consumer choice and free exchange of ideas by citizens

April 20, 2017 – Ottawa-Gatineau – Canadian Radio-television and Telecommunications Commission (CRTC)

The Canadian Radio-television and Telecommunications Commission (CRTC) today strengthened its commitment to net neutrality by declaring that Internet service providers should treat data traffic equally to foster consumer choice, innovation and the free exchange of ideas. As such, the CRTC today is publishing a new framework regarding differential pricing practices.

This framework supports a fair marketplace for services, cultural expression and ideas in which Internet service providers compete on price, quality of service, speeds, data allowance and better service offerings, rather than by treating the data usage of certain content differently.

The CRTC is of the view that differential pricing generally gives an unfair advantage or disadvantage to certain content providers and consumers.

After assessing Videotron’s Unlimited Music Service under the new framework, the CRTC found that the company is giving an undue preference to certain consumers and music streaming services, while subjecting other consumers and content providers to an unreasonable disadvantage. Videotron must ensure its Unlimited Music Service comes into compliance within 90 days.

The LMG will be hosting a walk on Sunday, June 11, 2017 to remember the raid of 1981 which was an historical and defining moment for the community of Listuguj, and all of the Mi’gmaq Nation.

The walk will begin at the Listuguj wharf at 10:00 A.M. and will proceed to Listuguj Community Development Centre (Bingo Hall) where a traditional meal will be served.

Québec Aboriginal Tourism: Federal Government Recognizes 25 Years of Work

Huron-Wendat territory (Wendake, QC), April 19, 2017 – Following a transparent, merit-based process, Dave Laveau became the first Aboriginal person to be appointed to Destination Canada’s Board of Directors. The honourable Bardish Chagger, Leader of the Government in the House of Commons and Minister of Small Business and Tourism, announced eight appointments to this prestigious board through a press release today after a selection process that factored in gender equality and Canadian diversity. The appointment of Dave Laveau undoubtedly gives another platform for the leaders of the Aboriginal Tourism Association of Canada (ATAC), Québec Aboriginal Tourism (QAT) and our industry to express their views.

Laveau currently serves as Vice Chair of ATAC and is the Executive Director of QAT, an organization which aims at safeguarding the interests of Aboriginal tourism companies in Quebec by providing them with products and services to stimulate growth, best practices and market visibility. QAT is the oldest Aboriginal tourism organization in Canada and has been in operation for over 25 years. It represents more than 180 active, associate and delegate members involved in the core development of Aboriginal tourism in Quebec.
